1. Parties

These Terms of Service ("Terms") govern your use of the Setra software platform ("Setra", "the Service") operated by Setra, a software company registered in Cyprus ("we", "us", "our"). By creating an account or using the Service, you ("you", "the Customer") agree to these Terms.

2. The Service

Setra is a financial intelligence platform for hospitality businesses. The Service includes profit & loss tracking, invoice processing, inventory and recipe costing, VAT period management, payroll tracking, and reporting. We provide the Service on a subscription basis according to the plan you select on our Pricing page.

3. Your account and businesses

You must be authorised to act for any business you register on Setra. You are responsible for the accuracy of the information you enter and for maintaining the security of your account credentials. You may invite team members to access your business data; you are responsible for their actions within your account.

4. Subscriptions, billing and tier limits

The Service is billed monthly or annually in advance via Stripe. Each subscription tier defines a maximum number of venues and seats, and a set of included features. These limits are enforced within the Service. If you exceed a tier's venue or seat limit, you must upgrade to a higher tier to add more. Fees are non-refundable except where required by law. You may cancel at any time; access continues until the end of the current billing period.

5. Your data and GDPR

You own your business data. Setra acts as a data processor on your behalf; you are the data controller for the personal data you upload (e.g. employee names for payroll, supplier contact details). We process your data only to provide the Service and as described in our Privacy Policy. Under the EU General Data Protection Regulation (Regulation (EU) 2016/679) and the Cyprus Law on the Protection of Natural Persons against the Processing of Personal Data (Law 125(I)/2018), you have the right to access, rectify, and request deletion of your personal data. You may export your data in CSV format at any time from within the Service; on account closure we will delete your business data within 90 days unless a longer retention is required by law.

6. Acceptable use

You may not use the Service to store or process data you do not have the right to store, to infringe the rights of any third party, or in a manner that could damage, disable, or impair the Service. You may not attempt to reverse-engineer, scrape, or gain unauthorised access to any part of the Service.

7. Sub-processors

We use the following sub-processors to deliver the Service:

  • Base44 — application hosting and database infrastructure.
  • Stripe — subscription billing and payment processing.
  • AI invoice-extraction provider — optical character recognition and structured data extraction from uploaded invoices and receipts.

We will notify you in advance of any material change to our sub-processor list.

8. Intellectual property

Setra and all software, design, and branding used in the Service remain our property or that of our licensors. We grant you a non-exclusive, non-transferable right to use the Service for the duration of your subscription. Your business data remains your property.

9. No advice

Setra produces financial reports, VAT summaries, and audit-ready documentation for your internal use and for sharing with your accountant. The Service does not constitute accounting, tax, or legal advice. Statutory filings, audited financial statements, and official tax returns require sign-off by a licensed accountant or auditor. Tax rates shown in the Service are indicative and must be confirmed by your accountant before filing.

10. Warranties and liability

The Service is provided "as is". To the maximum extent permitted by law, we exclude warranties of merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising from the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect or consequential damages.

11. Termination

You may close your account at any time. We may suspend or terminate access if you breach these Terms or if your account remains unpaid. On termination, your right to use the Service ends and your data will be deleted as set out in section 5.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or within the Service. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the Republic of Cyprus. Any dispute will be subject to the exclusive jurisdiction of the courts of Cyprus.
